Description:

TERMS OF REFERENCE (ToR) FOR CONSULTANCY SERVICES TO TRAIN BOARD OF DIRECTORS AND MANAGEMENT ON SUCCESSION PLANNING (14 MEMBERS)

1. Introduction

TIMB is seeking the services of a qualified consultant to train its Board of Directors on succession planning. This initiative aims to ensure a structured and strategic approach to leadership transitions within the organization.

2. Objectives of the Consultancy The main objectives of the consultancy are:

  • To enhance the Board’s understanding of the importance of succession planning.
  • To equip the Board with practical tools and best practices for effective succession planning for TIMB.
  • To develop a framework for leadership transition within the organization.
  • To align succession planning with the organization’s strategic goals and governance principles.

3. Scope of Work The consultant will be required to:

  • Conduct a needs assessment to determine the specific training requirements.
  • Develop a customized training module on succession planning for the Board of Directors.
  • Facilitate a training workshop covering key aspects of succession planning, including leadership development, risk management, governance, and sustainability.
  • Provide case studies and best practices in corporate succession planning.
  • Assist in the formulation of a draft succession planning policy for the organisation.
  • Assist in the formulation of a draft succession plan for the organization.
  • Provide a post-training report with recommendations for implementation.

4. Deliverables The consultant is expected to deliver the following:

  • A training needs assessment report.
  • A detailed training module and materials.
  • Facilitation of an interactive training session for the Board.
  • A draft succession planning framework/policy for the organization.
  • A draft succession plan for the organization
  • A final report with key takeaways and recommendations.

5. Duration and Location The consultancy is expected to be completed within half (1/2) a day, with the training workshop taking place at a venue to be advised.

6. Consultant Qualifications and Experience The consultant should possess the following qualifications and experience:

  • A degree in Human Resource Management, Organizational Development, Corporate Governance, or a related field.
  • At least 5 years of experience in executive training and consultancy, particularly in corporate governance and succession planning.
  • Proven track record of conducting Board-level training and advisory services.
  • Strong understanding of governance principles and best practices in leadership transition.
  • Excellent facilitation, communication, and report-writing skills.

7. Proposal Submission Requirements Interested consultants should submit a proposal that includes:

  • A detailed methodology for undertaking the assignment.
  • A proposed work plan and timeline.
  • Consultant’s profile, including qualifications and relevant experience.
  • At least two references from previous similar assignments.
  • A financial proposal detailing consultancy fees and other costs.
