Description:TERMS OF REFERENCE FOR STRATEGIC LEADERSHIP AND OVERSIGHT TRAINING
TIMB, in line with its mandate to promote sound corporate governance and effective institutional stewardship, seeks to conduct Strategic Leadership and Oversight Training for its Board members. The training is intended to strengthen the Board’s capacity to provide strategic direction, exercise effective oversight over organizational performance, risk and resources, and discharge its fiduciary, statutory and ethical responsibilities in accordance with applicable laws and good governance principles in Zimbabwe.
SCOPE:
The training shall cover, but not be limited to, the following key areas of strategic leadership and Board oversight:
- Strategic leadership and direction setting, including the role of the Board in defining institutional vision, priorities and long-term strategic objectives.
- Fiduciary duties, governance responsibilities and accountability of Board members in the discharge of their oversight mandate.
- The legal and regulatory framework applicable to Board operations in Zimbabwe, including compliance obligations and good governance standards.
- Oversight of strategy implementation and organizational performance, including monitoring of key deliverables, results and accountability mechanisms.
- Risk governance, internal controls and assurance, with emphasis on the Board’s role in identifying, monitoring and responding to strategic and operational risks.
- Financial oversight and stewardship of resources, including interpretation of financial information, budgeting oversight and audit-related responsibilities.
- Conflict of interest, ethics and integrity in Board conduct, including practical approaches to transparency and responsible decision-making.
- Board effectiveness, stakeholder accountability and emerging governance issues relevant to the organization’s operating environment.
TRAINING LOGISTICS AND CLIENT SUPPORT
The consultant shall propose an appropriate facilitation team for the assignment, provided that the maximum number of trainers shall be two (2). The proposal should clearly identify the lead facilitator and, where applicable, the supporting facilitator. The training shall be conducted outside Harare at a venue to be advised by TIMB.
TIMB shall cater for accommodation and transport for the training. Bidders are required to clearly state in their financial proposals the costs included in their quotation and any assumptions relating to training materials and any other logistical requirements for the facilitation team.
QUALIFICATIONS AND EXPERIENCE OF THE CONSULTING FIRM
The ideal consultant or consulting firm should demonstrate the following qualifications and experience:
Academic and Professional Qualifications
- Relevant academic qualifications: A Master’s degree in Corporate Governance, Business Administration, Law, Strategic Management, Public Administration, or another relevant field. A PhD will be an added advantage.
- Professional certifications: Relevant professional certifications in governance, legal practice, leadership development, risk management, accounting, or management consulting will be an added advantage.
Professional Experience and Facilitation Capability
- Relevant training experience: five years demonstrated experience in designing and delivering Board-level, executive or senior management training in strategic leadership, governance and oversight is desirable.
- Governance and oversight expertise: Strong understanding of corporate governance principles, fiduciary duties, compliance, ethics, risk oversight, financial stewardship and institutional accountability.
- Strategic and contextual knowledge: Demonstrated expertise in strategic planning, oversight of organizational performance, and a good understanding of the Zimbabwean legal, regulatory and governance environment applicable to Boards and public institutions.
- Facilitation approach: Strong facilitation skills and ability to apply practical, participatory and adult-learning methodologies, including case studies, scenario analysis and interactive discussions.
- Track record in similar assignments: Proven experience working with Boards, regulators, public institutions, parastatals or similarly complex organizations, supported by at three traceable references for comparable assignments.
TECHNICAL PROPOSAL
- Three (3) references in similar assignments, together with names and contact details of referees.
- Attach detailed CVs of professionals.
- Clear understanding of the assignment.
FINANCIAL PROPOSAL
- Provide a clear breakdown of the financial proposal including all chargeable taxes, terms of payment and the total quote for the assignment. Bidders should note that accommodation and transport will be catered for by TIMB and should therefore not be included in the financial proposal. The quotation should clearly state all other costs included in the bid.
CONFIDENTIALITY AND DATA PROTECTION
- The consultant must adhere to Cyber & Data Protection Act Chapter [12:07] and general expectations on confidentiality
